Spoonful Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Dexterity Labs Inc. ("Dexterity Labs", "we", "us", "our"), a company incorporated under the laws of Canada, covering your use of the Spoonful mobile app and related services (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Please read Sections 5 and 6 carefully. Spoonful uses artificial intelligence to generate recipes, and AI makes mistakes. You are responsible for checking that any recipe is safe for you and the people you cook for.

1. Who can use Spoonful

You must be at least 18 years old to use the Service. By creating an account, you confirm that you are 18 or older.

You may not use the Service if you are barred from doing so under the laws of your country, or if we have previously suspended or terminated your account.

2. Your account

You sign in to Spoonful with a Google or Apple account. You are responsible for keeping that account secure and for everything that happens under your Spoonful account. Tell us right away at contact@dexteritylabs.ca if you believe your account has been accessed without permission.

You can delete your account at any time from within the app. Deleting your account permanently removes your recipes, photos and preferences, as described in our Privacy Policy.

3. Licence to use the app

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the Spoonful app on devices you own or control, for your personal, non-commercial use.

You may not:

• copy, modify, distribute, sell, rent or sublicense the app or any part of it;
• reverse engineer, decompile or attempt to extract the source code of the app, except to the extent the law expressly permits;
• access the Service by any automated means, such as bots or scrapers, or use it to build a competing product;
• use the Service to generate content that is unlawful, hateful, harassing or that infringes anyone's rights;
• attempt to probe, overload or bypass the security of the Service or our providers;
• submit photos of other people, documents or anything else that is not food or that you do not have the right to share;
• use the Service in any way that violates applicable law.

If you downloaded the app from the Apple App Store or Google Play, the additional terms in Section 12 also apply.

4. Your content and generated recipes

Your content. You keep ownership of the photos you submit and any notes, edits or other content you add ("Your Content"). You give us a worldwide, royalty-free licence to host, store, reproduce, process and display Your Content solely as needed to operate, secure and improve the Service and to provide it to you. This licence ends when you delete the content or your account, except for copies that remain in backups for a limited time or that we must keep by law.

Generated recipes. Recipes that Spoonful generates for you ("Generated Recipes") may be used by you for any purpose, including commercially, subject to these Terms. Because AI output is created from patterns rather than authored by a person, similar or identical recipes may be generated for other users, and we cannot guarantee that a Generated Recipe is unique or that you can claim exclusive rights in it. To the extent we hold any rights in Generated Recipes, we assign them to you.

No training. We do not use Your Content or Generated Recipes to train AI models, and we have configured our AI providers not to do so either.

Private. Your recipes and photos are visible only to you. Spoonful does not have sharing or publishing features.

Responsibility. You confirm that you have the right to submit Your Content and that doing so does not violate anyone's rights or any law.

Feedback. If you send us suggestions or feedback about the Service, we may use them freely without any obligation to you.

5. AI-generated content

Spoonful sends your photo and relevant preferences to third-party AI providers (OpenRouter, Google, Anthropic and OpenAI) and shows you the result. AI models:

• may misidentify a dish or its ingredients;
• may invent ingredients, quantities, temperatures or cooking times that are wrong;
• may include ingredients that conflict with the dietary restrictions you selected, and may omit or misstate allergens;
• may produce nutrition information, cooking times or storage advice that is inaccurate;
• may produce results that are inappropriate or that vary from one request to the next.

We do not review Generated Recipes before they are shown to you. You must use your own judgment before relying on any recipe, and you should verify anything that matters, including ingredients, allergens, cooking temperatures and times, and food safety practices.

6. Food safety, allergens and no professional advice

Dietary restrictions and allergens. Spoonful lets you select dietary restrictions (such as vegetarian, vegan, gluten-free or dairy-free) so recipes can be tailored to you. This is a convenience feature only. It is not a safety control, and it can fail. A Generated Recipe may contain an ingredient that conflicts with your selected restrictions, and Spoonful does not screen recipes for allergens. Always check every ingredient yourself before cooking or eating, especially if you or anyone you cook for has a food allergy, intolerance or medical condition.

Food safety. You are responsible for handling, cooking and storing food safely, including cooking food to safe internal temperatures and following the guidance of your local public health authority.

Not medical, nutritional or dietary advice. The Service is for general informational and entertainment purposes. Nothing in the Service is medical, nutritional, dietary or other professional advice, and it is not a substitute for advice from a qualified professional who knows your circumstances. Do not rely on Spoonful to manage a medical condition, allergy, pregnancy, dietary restriction or weight goal.

7. Our intellectual property

The Spoonful app, its design, software, logos and all content we provide (other than Your Content and Generated Recipes) belong to Dexterity Labs or our licensors and are protected by copyright, trademark and other laws. These Terms do not give you any right to use our name, logos or branding.

8. Suspension and termination

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or if continuing to provide the Service to you creates a risk for us or other users. We may also modify or discontinue the Service, in whole or in part, at any time.

You may stop using the Service and delete your account at any time.

On termination, your licence to use the app ends. Sections that by their nature should survive (including Sections 4 through 6 and 9 through 14) will survive.

9. Disclaimer of warranties

THE SERVICE, INCLUDING ALL GENERATED RECIPES, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT ANY GENERATED RECIPE IS ACCURATE, COMPLETE, SAFE, FREE OF ALLERGENS OR SUITABLE FOR YOUR NEEDS.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In particular, if you are a consumer in Quebec or in another jurisdiction with mandatory consumer protection laws, nothing in these Terms limits the rights those laws give you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEXTERITY LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) CAD $50.

THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD OR GROSS NEGLIGENCE, OR TO RIGHTS YOU HAVE UNDER MANDATORY CONSUMER PROTECTION LAW.

11. Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold harmless Dexterity Labs from any claims, damages, losses and expenses (including reasonable legal fees) arising out of Your Content, your breach of these Terms, or your violation of any law or third-party right. This Section does not apply to consumers where it is prohibited by law.

12. App store terms

Apple. If you downloaded the app from the Apple App Store: these Terms are between you and Dexterity Labs, not Apple; Apple has no obligation to provide maintenance or support for the app; Apple is not responsible for any product warranty, claims relating to the app, or investigating or defending third-party intellectual property claims; Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you; and you confirm that you are not located in a country subject to a U.S. government embargo or on any U.S. government list of prohibited or restricted parties.

Google. If you downloaded the app from Google Play, your use of the app is also subject to the Google Play Terms of Service.

13. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of the Province of Ontario, and you consent to the jurisdiction of those courts.

Nothing in this Section prevents you from bringing a claim under mandatory consumer protection law in your home jurisdiction, or from raising a complaint with a consumer protection or privacy regulator.

14. Changes to the Service and these Terms

We may modify the Service at any time, including by adding, changing or removing features. We may also update these Terms. If a change is material, we will give you at least 30 days' notice in the app or by email before it takes effect. If you do not agree with the change, you may delete your account before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.

15. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not transfer these Terms. We may assign them to a successor in a merger, acquisition or sale of assets.
• Export controls. You agree to comply with all applicable export and sanctions laws.
• Language. These Terms are written in English.
